Environmental Due Diligence

Environmental Due Diligence (EDD) of industrial facilities and commercial real estate in CIS countries

When is EDD required?

For transactions with industrial facilities where operations with a high risk of soil and groundwater contamination are being or have been carried out
In the sale of facilities and assets to confirm the stated environmental profile of a land plot
For assessing current soil and groundwater conditions and associated risks and liabilities for operating facilities

A significant part of Environ Consult team's experience in environmental assessment of properties is related to the process of investment and support of asset purchase and sale transactions, where the customer of the assessment is the investor itself or its legal advisors

Services provided within the EDD scope:

1
Environmental Due Diligence (Phase I)
2
Site contamination assessment (Phase II), including specialized surveys
4
Environmental solutions to improve the efficiency of economic activities and reduce environmental impact

Environmental Due Diligence can be carried out in the process of sale, purchase or lease of land plots in relation to both "greenfields", viz. previously unused lands, and areas of existing or decommissioned industrial facilities (brownfields)

EDD objectives:

  • 1
Confirmation of either presence or absence of soil and groundwater contamination
  • 2
Identification of the magnitude and nature of contamination
  • 3
Assessment of potential financial and legal risks and liabilities of the owner
  • 4
Development of measures to eliminate environmental risks
  • 5
Development of a cleanup or remediation plan
  • 6
Assessment of compliance with current and anticipated legal requirements and other standards

In implementing projects we are guided by:

1
National statutory requirements and methodologies, particularly for environmental damage assessment
2
ASTM E1527-21 Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process
3
ASTM E1903 Standard Practice for Environmental Site Assessments: Phase II Environmental Site Assessment Process

Services on conducting EDD are particularly relevant in light of stricter requirements for assessment and remediation of past contamination

EDD Phases:
1
First Phase (Phase 1)
Collection of information from open sources and databases, site visit with the visual inspection of the site area and review of the available documentation, analysis of the obtained data, and issuance of the report

Based on the results of the first phase, a conclusion is made as to the need for the second phase (Phase 2) of the assessment
2
Second Phase (Phase 2)
Environmental survey of the site with sampling of natural media (soil and groundwater) and analysis of the chemical composition of the samples, which allow a conclusion on the nature and magnitude of contamination of the site area

Scientifically grounded and legally recommended methodical procedures are used for sampling and analysis

Leading accredited analytical laboratories are engaged for chemical analysis

EDD, in addition to assessing contamination of the area itself, may cover a wider range of issues
For example, assessing compliance with current and emerging statuary requirements and other standards, i.e. 'upstream' elements of an environmental audit.

This is necessary during the transaction process to gain an in-depth understanding of environmental performance of the operating facility, nonconformity with legal and other requirements, and resulting potential costs.

As appropriate, a detailed Environmental Risk and Damage Assessment can also be carried out by the client at further stages of site development.
